Job Overview:
A law firm based in Philadelphia, PA, is seeking a mid-level associate to join its corporate group, with a strong emphasis on transactions in the life sciences sector. This role provides the opportunity to advise innovative growth-stage companies across biotechnology, healthcare, and technology markets. The practice includes a wide array of work such as equity financings, mergers and acquisitions, initial public offerings, and governance advisory for both private and public companies.

Duties:

• Handle a variety of corporate matters spanning the full business lifecycle

• Advise clients on equity financings, IPOs, and M&A transactions

• Support ongoing reporting and compliance matters for public companies

• Draft and negotiate a range of transactional documents

• Coordinate with interdisciplinary teams to manage deal execution

• Provide strategic guidance on corporate governance practices

• Engage with clients from the U.S., Asia, and global markets in cross-border transactions

Requirements:

• 3-4 years of experience in corporate transactions, including:

  • Registered equity offerings

  • Public company representation and SEC compliance

  • Mergers and acquisitions

• Background in life sciences preferred; demonstrated interest required

• Demonstrated ability to manage deal components independently and contribute to team-based transactions

• Strong drafting, negotiation, and client management skills

• Bar admission in good standing, or ability to obtain promptly

Education:

• Juris Doctor (JD) from an accredited law school

• Strong academic performance is required

Certifications:

• Admission to the Bar in at least one U.S. jurisdiction
