Profile

A law firm seeks a talented Corporate M&A and Private Equity Associate to join its team in Atlanta, GA. This role is tailored for an attorney with significant experience in mergers, acquisitions, and private equity transactions, offering the opportunity to work on high-profile deals in a collaborative and fast-paced legal environment.

Duties:

• Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, and ancillary contracts.
• Conduct and oversee due diligence to identify potential risks and ensure compliance with regulatory requirements.
• Provide strategic counsel to clients on deal structures, corporate governance, and regulatory issues.
• Coordinate with interdisciplinary teams to develop and implement effective transaction strategies.
• Manage transaction timelines and communicate effectively with clients and stakeholders to ensure seamless deal execution.
• Stay current with legal and regulatory changes affecting mergers, acquisitions, and private equity markets.

Requirements:

• 3 to 7 years of experience in corporate transactions, with a focus on mergers, acquisitions, and private equity.
• Proven ability to manage complex legal matters with a high degree of attention to detail.
• Strong research, drafting, and analytical skills.
• Excellent communication and interpersonal skills, with a client-focused approach.

Education:

• Juris Doctor degree from an ABA-accredited law school.

Certifications:

• Membership in the Georgia Bar or eligibility for prompt admission.

Skills:

• Advanced knowledge of corporate and transactional law, including deal structuring and compliance.
