A law firm seeks a senior associate or counsel in Stamford, CT with at least 7 years of experience in private investment fund formation and related matters. The ideal candidate will have experience at a large law firm or in-house, advising fund sponsors on drafting and negotiating core fund documents.

Duties

• Advise fund sponsors on drafting and negotiating placement memoranda, partnership agreements, subscription agreements, and side letters.
• Provide guidance on fund terms and issues impacting private investment fund sponsors and investors.
• Ensure compliance with relevant securities rules and regulations.
• Review fund and co-invest documentation for institutional investors.

Requirements

• Minimum of 7 years of experience in private investment fund formation.
• Experience at a large law firm or in-house preferred.
• Strong knowledge of fund terms and issues impacting sponsors and investors.
• Familiarity with relevant securities rules and regulations.

Education

• Juris Doctor (JD) degree required.

Certifications

• Bar admission in good standing.
