Duties

• Advise fund sponsors on drafting and negotiating core fund documents.
• Draft placement memoranda, partnership agreements, and subscription agreements.
• Negotiate side letters and other related documents.
• Review fund and co-invest documentation for institutional investors.

Requirements

• 3-5 years of experience in private investment fund formation.
• Experience at a large law firm or in-house preferred.
• Knowledge of fund terms and issues impacting fund sponsors and investors.
• Familiarity with relevant securities rules and regulations.

Education

• Juris Doctor (JD) degree required.

Certifications

• Bar admission in the state of Connecticut or eligibility to waive in.
