Job Overview

A law firm seeks a junior to mid-level Associate with significant US equity and debt capital markets experience to join their Capital Markets practice in Houston. This role offers the opportunity to work on sophisticated domestic and cross-border transactions, advising issuers, underwriters, investors, and financial institutions on high-profile matters.

Duties

• Advise on a wide range of capital markets transactions, including IPOs, SPAC IPOs, and private placements.
• Draft, review, and negotiate transaction documentation such as registration statements and underwriting agreements.
• Assist in structuring debt capital markets transactions, including bond offerings and liability management transactions.
• Support clients with ongoing SEC reporting and disclosure matters.
• Manage drafting processes and coordinate execution with partners, clients, and internal teams.
• Collaborate with colleagues across various practices to deliver integrated solutions.
• Develop into a trusted advisor by understanding legal and commercial aspects of offerings.

Requirements

• Juris Doctor (JD) degree (or LL.M./foreign equivalent) from an accredited law school.
• Admission to the New York Bar (or eligibility to become admitted) and in good standing.
• Approximately 2+ years of relevant transactional experience.
• Experience advising on equity and/or debt capital markets transactions.
• Strong drafting, analytical, and negotiation skills.
• Familiarity with SEC reporting and disclosure requirements.
• Commercial awareness and ability to see the broader business context.
• Strong communication, organization, and time-management skills.
• Ability to manage multiple matters efficiently and perform well under pressure.
• Client-service oriented, collaborative, and proactive.
• Driven by professional growth and long-term interest in business law.
• Fluency in English; international experience is a plus.

Education

• Juris Doctor (JD) degree (or LL.M./foreign equivalent) from an accredited law school.
