A prominent law firm is seeking a Fund Formation Associate with a minimum of three years of experience advising clients on private investment fund formation. The ideal candidate will bring a robust understanding of fund formation transactions, sponsor-level structuring, and secondary market transactions. Location:

• New York, NY

Duties:

• Represent sponsors and investors in private investment fund formations

• Draft, negotiate, and finalize fund documents, including LPAs and PPMs

• Structure and negotiate sponsor-level arrangements (general partner and management company entities)

• Advise clients on regulatory compliance and ongoing fund management matters

• Work on secondary transactions involving LP interests or portfolio company holdings

• Collaborate with tax, ERISA, and regulatory teams to support comprehensive fund formation and maintenance

• Manage client communications and participate in business development initiatives

Requirements:

• Minimum 3 years of experience in private investment fund formation

• Strong transactional background, with demonstrated experience leading fund closings and handling complex structuring issues

• Previous experience in a national or international law firm is highly desirable

• Familiarity with legal and regulatory issues affecting private equity, venture capital, hedge, and other alternative investment funds

Education:

• Juris Doctor (J.D.) from a nationally recognized, ABA-accredited law school

• High academic achievement required

Certifications:

• Admission to the New York State Bar (or eligibility for admission without examination)

Skills:

• Excellent drafting, negotiation, and legal research skills

• Strong interpersonal and client communication abilities

• Organized, detail-oriented, and capable of managing multiple matters simultaneously

• Ability to work collaboratively in a fast-paced environment
