Job Overview

A law firm seeks a corporate securities associate with 3-5 years of experience to join its corporate securities and capital markets practice in New York, NY. The ideal candidate will have substantial experience drafting and negotiating offering and financing documents, including private placements, registration statements, and SPAC-related transactions, and will be comfortable taking on significant responsibility in sophisticated deals.

Duties

  • Draft and negotiate financing and transactional documents, including private placement memoranda and subscription agreements.
  • Assist with SPAC formations, de-SPAC transactions, PIPE investments, and ongoing public company matters.
  • Support capital markets transactions and securities offerings.
  • Conduct due diligence and manage deal timelines and closing processes.
  • Coordinate with clients, opposing counsel, and internal teams to efficiently execute transactions.
  • Provide day-to-day corporate and securities law advice to clients.

Requirements

  • J.D. from an accredited law school.
  • 3-5 years of relevant corporate experience, with a focus on financings and capital markets transactions.
  • Hands-on experience drafting private placement and/or SPAC-related documents.
  • Admission to practice in the relevant state (or eligibility for admission).
  • Strong drafting, analytical, and organizational skills.
  • Ability to manage multiple transactions and work independently in a fast-paced environment.

Preferred

  • Experience with PIPE transactions, registered direct offerings, or public company reporting.
  • Familiarity with SEC filings and disclosure requirements.
  • Prior experience at a law firm with a strong capital market or emerging companies' practice.

Education

  • Doctor of Law.

Certifications

  • Admission to practice law in the relevant state.
