A law firm seeks a highly experienced M&A Attorney with 16 years of corporate transaction expertise to join their team in Garden City, NY. This role involves structuring and executing complex mergers, acquisitions, and joint ventures, guiding clients through every phase of the deal lifecycle.

Duties

• Lead negotiation and drafting of purchase agreements, merger agreements, stock and asset sale documents
• Manage due diligence processes, coordinating with internal and external stakeholders
• Advise on deal structure, governance, regulatory compliance, and tax implications
• Draft ancillary documents, including disclosure schedules, transition services agreements, and employment arrangements
• Oversee closing logistics and post-closing integration matters
• Collaborate with finance, tax, IP, and employment teams to ensure comprehensive transaction support
• Mentor junior associates and supervise paralegal staff on drafting and research tasks

Requirements

• Sixteen years of M&A and corporate transaction experience at a reputable law firm or in-house
• Admission to the New York State Bar, in good standing
• Proven track record of handling high-value, cross-border, and private equity-backed transactions
• Deep familiarity with NYSE/NASDAQ listing requirements and SEC regulations
• Exceptional client relationship and project-management skills
• Capacity to manage multiple deals under tight deadlines

Education

• Juris Doctor (JD) from an ABA-accredited law school

Certifications

• Licensed to practice law in New York State
• (Preferred) Certified in Corporate Law or related continuing legal education specialties
