Lead Corporate Counsel

The candidate will provide legal support and technical expertise to designated corporate functions including Global Business Development, the Center for External Innovation within R&D, Finance, Tax, Treasury and Corporate Communications. Provide legal support regarding business development transactions, including mergers, acquisitions, divestitures, licensing and collaborations, and venture investing. This includes support of due diligence, transaction negotiation and drafting, and ongoing post-closing legal support, as needed. Advise clients regarding legal and commercial risks impacting Takeda, and effectively advise how best to manage those risks. Will have responsibility for supporting business development activities (i.e., M&A, licensing and collaborations, and venture investing), primarily in the U.S., but ex-US as well. Reports to the Head Counsel, U.S. Corporate and Commercial Contracting, providing legal support to the Global Business Development and Center for External Innovation functions (collectively, “GBD”) within Takeda in connection with business development (“BD”) contracting activities and alliance management support. Draft, review and negotiate a wide variety of Business Development-related contracts including CDAs, law firm and banker engagement letters, license and collaboration agreements, co-promote agreements, agreements in support of venture investments, and M&A related agreements such as stock and asset purchase/sale agreements. Provide support to the Global Alliance Management function within Global Business Development, including in connection with contract interpretation, the negotiation and drafting of agreement amendments and collateral agreements, and the management of contract disputes. Provide support to the Litigation Department in connection with BD contract disputes, including arbitration and litigation. Assist with the investigation of, and prepare written responses to, government inquiries regarding securities law compliance. Collaborate with other Business Development (BD) Legal attorneys located in Europe, Japan and other countries, including as a member of the BD Virtual Practice Group (i.e., a global team of BD attorneys). Negotiate, draft and provide advice regarding non-BD, commercial contracts in support of functions other than GBD, and research legal issues that may arise related to Takeda’s BD activities. Advise executive management regarding material legal issues, including through the preparation of corporate governance materials and presentations. Advise clients regarding legal and commercial risks impacting Takeda, and effectively advise how best to manage those risks. Closely collaborate and advise other members of the Global General Counsel regarding legal issues, as needed. Strong legal expertise in a wide variety of corporate transactions are required. Strong leadership skills and ability to think strategically. Must be an effective communicator, have strong collaboration and inter-personal skills, and have the ability to provide executive-level legal support on complicated legal issues are required. Ability and confidence to analyze complicated legal issues and provide advice to stakeholders in a variety of functions and business units with Takeda are required. Strong legal expertise and knowledge of the pharmaceutical industry are required. 7 years of post-law school experience are required. 5 years of private practice experience in a highly regarded US legal practice are required. Must have experience in advising on corporate matters, including M&A, licensing and other business development matters are required. Must have significant expertise in advising on US securities and disclosure laws. Must be able to work autonomously and have excellent communication, collaboration and client-relation skills. Must have the ability to provide legal advice clearly and confidently, have strong commercial instincts and the ability to quickly win the confidence and trust of the functions the role supports.
