Job Overview: A prestigious law firm based in New York City is seeking an experienced Mergers and Acquisitions (M&A) Corporate Attorney to support domestic and international clients, particularly from Italy, in all aspects of merger and acquisition transactions. This role requires a deep understanding of both U.S. and Italian corporate law, as well as expertise in cross-border M&A dealings, finance, and commercial law.

Duties:

• Provide legal counsel and strategic advice on domestic and international M&A transactions, including corporate structuring and due diligence.
• Support clients in navigating complex international transactions that require knowledge of both U.S. and Italian legal systems.
• Analyze, draft, and negotiate contracts and agreements related to mergers, acquisitions, financing, and corporate governance.
• Assist clients in understanding the regulatory landscape and compliance requirements, particularly about Italian banking, finance, and credit systems.
• Collaborate with cross-functional teams, including finance professionals, to advise clients on the financial aspects of mergers and acquisitions.
• Represent clients in negotiations with opposing parties, regulatory bodies, and other stakeholders.
• Conduct legal research on relevant laws and regulations that impact corporate transactions, particularly Italian and European law.

Requirements:

• Juris Doctor (J.D.) degree or equivalent legal qualification (e.g., Bachelor's in Law plus LLM) as required by New York State.
• Licensed to practice law in the State of New York.
• Minimum of three (3) years of experience in M&A law or a related field with similar responsibilities.
• At least two (2) years of hands-on experience with Italian financial systems, banking, corporate law, and regulations related to credit and lending.
• In-depth knowledge of European and Italian corporate finance law.
• Expertise in handling international transactions involving U.S. and Italian legal frameworks.

Education:

• Juris Doctor (J.D.) degree or equivalent, as per New York State regulations.
• Advanced studies or certifications related to corporate law and international business transactions are a plus.

Certifications:

• Licensed to practice law in the State of New York.

Skills:

• Strong analytical, negotiation, and drafting skills.
• Fluency in Italian legal terminology and business practices.
• Ability to manage and lead complex legal matters involving cross-border jurisdictions.
