Duties

• Lead and manage due diligence processes for complex transactions

• Draft, review, and negotiate ancillary and primary M&A transaction documents

• Advise clients on structuring, regulatory issues, and deal strategy

• Collaborate with internal teams and external advisors to facilitate deal execution

• Interface directly with clients to manage expectations and provide updates

• Assist with closing processes and post-closing integration matters

Requirements

• 3–6 years of experience in M&A transactions at a top-tier law firm

• Significant experience managing M&A deals and drafting transaction documents

• Ability to oversee junior associates and coordinate deal teams

• Strong understanding of both private equity and public company transactions

Education

• Juris Doctor (J.D.) from an accredited law school

• Strong academic credentials

Certifications

• Admission to the New York State Bar

• Deep knowledge of M&A structures and legal considerations
