Director International Trade and Compliance/Senior Counsel

The candidate will under general direction and in support of the Sector Chief Counsel, this position will function in a specialist role on a diverse portfolio of matters, with a primary focus on international trade compliance, export and import law, anti-corruption, sanctions, and ATF regulations. Provide sound, pragmatic legal advice and innovative/creative solutions on a wide range of international trade matters including Foreign Military Sales, Direct Commercial Sales, marketing activities, exports, imports, offset and industrial cooperation, domestic advisers, consultants, ATF, and review of export opportunities that facilitates the achievement of business objectives. Apply strong knowledge of international trade laws and practices to provide legal advice and oversight of export and import personnel, and work closely and cooperatively with Business Counsel, Contracts, Supply Chain, Business Development, International Compliance, Government Relations, and Program Management organizations. Provide strategy, planning, and execution for export/import related to market creation, bids, proposals, contracts, operations, procurement, security, communications, and related functions. Oversee management of a large portfolio of Department of State export agreements including Technical Assistance Agreements, Manufacturing License Agreements, and Distribution Agreements. Oversee management of export and import licenses and permits obtained from the Department of State, Department of Commerce, and ATF, and provides oversight for AES filings with the Census Bureau. Oversee compliance related to legal reporting and notifications, export classification, and the certification and usage of license exemptions and exceptions. Ensure compliance with record keeping and data management legal requirements. Oversee compliance with trade compliance practices related to document review, public release processes, review of international purchase orders and hardware shipments, foreign visits, and international travel requests. Conduct internal investigations for potential incidents of non-compliance and prepares investigation reports and drafts voluntary self-disclosures. Conduct legal research under minimum supervision and prepare written opinions based on that research. Guide successful resolution of legal problems, examine various documents and data, and provide counsel to the business on the best course of action. Participate in reviewing, interpreting, and drafting various company policies and procedures, including responsibility for developing new or enhancing existing templates, guidelines, policies, and training materials in support of the legal department's efforts to empower the international trade function to better assist the business areas they support. Proactively research and report on changes in relevant laws, regulations, and industry standards, as well as track emerging trends. Oversee completion of all requests for due diligence research, review, and preparation of legal memoranda and approvals related to supply chain, teaming partners, domestic advisers, offset partners, and other parties as requested to ensure compliance with anti-corruption risk mitigation. Analyze, prepare, and review various matters to ensure the protection of the interests of BAE Systems. Consult with or refer matters to outside counsel, as required, and with a recommendation from the Sector Chief Counsel. When directed, conduct internal investigations under the supervision of the Deputy Chief Counsel. Contribute to an environment in which all team members are respected regardless of their individual differences, and are motivated to improve both their individual and team contributions to achieve business results. Accept other tasks as assigned by the Sector Vice President, Chief Counsel. Serve as the Sector Representative for the enterprise-wide export and import steering committee.
