Corporate Counsel M&A

The candidate will collaborate and interact with corporate business development, business unit teams, other corporate functions, and internal and external counsel. Independently lead multiple, complex transactions in fast paced, energetic department. Advise business unit executives on legal issues related to deal structure and documentation, as well as implications for business objectives, and lead negotiations on complex transactions spanning multiple jurisdictions. Draft and/or review with external counsel all relevant transaction documentation including approval documents for Boards of Directors. Manage external legal expenses and providing regular reports to management on deal status. Supervise and assist outside counsel to represent the Company or its officials in various legal proceedings throughout the world. Write, review, and edit reports, opinions, correspondence, articles, and other documents. Operate in a global marketplace. Other duties as assigned. Completion of a legal degree from an accredited law school is required. Should have 8-12 years of relevant experience, with 5+ years in M&A department of large law firm. Knowledge of the global automotive industry is preferred. License to practice law in United States is required.
