Job Overview:
A respected law firm in New York is seeking a Transactional Tax Associate to join its tax practice group. This position is ideal for candidates with a strong foundation in federal income tax matters and experience in corporate and partnership taxation. The role involves working on a wide range of transactional tax issues, including fund formation, mergers and acquisitions, private equity, capital markets, and real estate transactions. The opportunity offers exposure to complex tax structuring and advisory work within a collaborative and sophisticated legal environment.

Location:

• New York, NY

Duties:

• Advise on federal income tax aspects of complex transactions

• Provide tax support on fund formation and structuring

• Review private placement memoranda (PPMs) and side letters

• Conduct legal research and draft tax memoranda and advisory communications

• Assist in matters involving M&A, private equity, debt instruments, real estate, REITs, and international transactions

• Work closely with partners and deal teams on transactional matters

Requirements:

• Minimum of 2 years of tax experience with a tax LLM or 3 years without a tax LLM

• Experience in federal income tax with a focus on corporate and partnership taxation

• Exposure to fund-related matters and financial instruments

• Prior experience in a large or mid-sized law firm preferred

• Stellar academic credentials required

Education:

• Juris Doctor (JD) from an accredited law school

• Tax LLM preferred but not required

Certifications:

• Admission to the New York State Bar (in good standing)

Skills:

• Strong tax research and analytical capabilities

• Excellent legal writing and communication skills

• Attention to detail and accuracy in tax analysis

• Ability to manage multiple projects under tight deadlines

• Strong interpersonal and team collaboration skills
