Job Overview

A law firm seeks an experienced corporate associate to join its Corporate and Securities Practice in Baltimore. The role involves supporting principals with mergers and acquisitions and providing outside corporate counsel for various sophisticated transactions and commercial matters.

Duties

• Draft and negotiate purchase agreements for mergers and acquisitions.
• Manage transaction teams across multiple disciplines and practices.
• Oversee transactions from due diligence through closing.
• Structure, form, and capitalize new business entities and ventures.
• Support corporate clients with acquisition strategies and daily legal needs.
• Draft and negotiate general corporate and commercial agreements.
• Advise on corporate governance matters and securities offerings.

Requirements

• Minimum of 3 years of relevant experience.
• Experience with stock and asset purchase agreements.
• Experience with operating, limited partnership, shareholder, and joint venture agreements.
• Admitted to practice in the jurisdiction of the applicable office or eligible to waive in.

Education

• Juris Doctor (JD) required.

Certifications

• Admitted to practice law in the relevant jurisdiction.
