Job Overview:
A nationally recognized law firm is seeking an experienced Corporate Securities Attorney to join its Corporate Business Unit. This role offers the flexibility to work from any of the firm’s U.S. office locations and involves advising clients on a wide range of securities law matters. The ideal candidate will bring deep experience with SEC and related regulatory filings and demonstrate a commitment to providing high-level legal services to public and private companies across various industries.
Location:

Duties:
Prepare and file documents with the Securities and Exchange Commission (SEC), FINRA, NYSE, Nasdaq, and OTC Markets Group
Advise clients on securities law compliance, including periodic reporting, proxy statements, and registration statements
Support capital markets transactions including public offerings and private placements
Assist with corporate governance matters and board advisory services
Coordinate with clients on regulatory developments and disclosure obligations
Draft and review agreements and legal memoranda related to securities law issues
Work with interdisciplinary legal teams on complex corporate transactions
Requirements:
5–12 years of experience practicing securities and corporate law
Strong background in SEC filings and public company representation
Demonstrated ability to manage multiple transactions and deadlines
Excellent organizational, time management, and client communication skills
Detail-oriented and able to work both independently and as part of a team
Education:
Juris Doctor (J.D.) from an accredited law school
Certifications:
Active license to practice law in the candidate's home jurisdiction
Must be eligible for admission in the local jurisdiction without examination, if applicable
Skills:
Deep knowledge of securities laws and capital markets regulations
Excellent legal drafting and analytical skills
Strong communication and interpersonal abilities
Familiarity with corporate governance best practices
Ability to provide practical legal advice aligned with business objectives
