Duties:

• Provide legal counsel on federal transactional tax matters, including mergers and acquisitions.
• Advise on entity formation, including structuring and choice-of-entity considerations.
• Draft and negotiate tax-related provisions in corporate and partnership agreements.
• Conduct legal research and analysis to support tax planning strategies.
• Collaborate with legal teams on transaction structuring to optimize tax efficiency.
• Stay current with changes in tax regulations and their implications on business transactions.

Requirements:

• Minimum of 3 years of experience in transactional tax law.
• Proficiency in handling tax aspects of mergers and acquisitions, entity structuring, and business transactions.
• Experience drafting and negotiating partnership agreements is preferred.
• Strong research, analytical, and problem-solving skills.
• Exceptional written and verbal communication abilities.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to practice law in at least one of the following jurisdictions: California, Florida, Illinois, Massachusetts, New Jersey, New York, Pennsylvania, Ohio, Oregon, Tennessee, or Washington, D.C.
