RESPONSIBILITIES: Partner with commercial and functional stakeholders to draft, review and negotiate a variety of contracts that support the Company’s global strategy and objectives, including customer and vendor supply agreements, professional service agreements, software license agreements, joint development agreements, NDAs, employment agreements and intracompany agreements. Provide advice on a myriad of legal issues relevant to the organization, including contractual, employment and regulatory issues. Facilitate decision making through practical legal risk mitigation strategies and solution-based advice. Assist with matters of corporate governance, including Board and Committee support as needed, assisting with shareholder inquiries and transactions, and attending to the legal management of the company’s foreign and domestic subsidiaries. Actively track emerging laws and regulations. Proactively address matters of regulatory compliance that affect the business and industry and craft solutions to maintain company compliance and satisfy the needs of customers. Partner with the HR Department to be the first stop for advice on labor and employment matters. Draft policies and provide training to support a strong culture of compliance and ethics. Develop and deliver training to employees on a range of subjects. Help business leaders resolve disputes and claims with third parties. Manage outside litigation counsel as needed. Support acquisition and due diligence activities. Provide legal advice in a diverse range of practice areas as needed. Periodic domestic and international travel will be required.
