Job Overview:
A prestigious law firm based in New York City, NY is seeking a seasoned attorney to join its investment funds practice at the Of Counsel level. This is an exciting opportunity for a legal professional with deep expertise in private fund formation and operation to take on a leadership-level role within a high-performing, collaborative team. The ideal candidate will engage directly with sophisticated clients on complex transactions, mentor junior attorneys, and contribute to a dynamic legal practice committed to innovation and professional growth.

Duties:

• Advise on the formation, structuring, and ongoing operation of a variety of private investment funds

• Work on matters involving private equity, venture capital, credit funds, real estate funds, fund-of-funds, and hybrid structures

• Structure and negotiate related investment vehicles such as co-investment funds, continuation vehicles, and secondary transactions

• Handle transactions involving GP stakes and other fund sponsor-level matters

• Provide strategic guidance to clients on regulatory compliance and fund governance issues

• Review and draft complex fund formation documents, investor agreements, and side letters

• Collaborate with attorneys across practices and jurisdictions to deliver coordinated legal advice

• Contribute to knowledge-sharing, mentoring, and training within the practice group

Requirements:

• Minimum of 7 years of relevant experience focused on private funds and investment management

• Prior work with fund sponsors, investment managers, and institutional investors

• Experience handling both domestic and cross-border fund formation matters

• Strong written and oral communication skills for sophisticated client-facing work

• Demonstrated ability to work independently and as part of a highly collaborative team

• Admitted to the New York State Bar or eligible to waive into NY

Education:

• Juris Doctor (J.D.) from an accredited law school

Certifications:

• Active New York State Bar membership (or eligibility for admission by waiver)

Skills:

• Deep subject-matter knowledge of fund structuring and the Investment Advisers Act

• Excellent legal drafting, negotiation, and issue-spotting skills

• Strong interpersonal and leadership qualities

• Ability to manage multiple complex matters simultaneously

• Thoughtful mentorship and team-building capabilities
