A nationally recognized midtown NYC law firm is seeking a Junior-Level Corporate Associate Attorney fluent in Mandarin and English to join its securities and corporate law practice. This position is ideal for attorneys with 1–3 years of experience in SEC regulatory matters, securities offerings, and general corporate law. Duties

• Advise clients on registered securities offerings, PIPEs, SEC compliance, and corporate governance

• Draft and review documents related to the ’33 Act registration statements and ’34 Act periodic filings

• Assist in mergers and acquisitions, equity financings, and other corporate transactions

• Conduct SEC research and ensure compliance with evolving regulatory requirements

• Develop and maintain strong client relationships with domestic and international clients

• Provide general corporate counsel to early-stage and high-growth companies

• Participate in client meetings, calls, and negotiations as needed

• Collaborate with partners and senior attorneys on complex corporate matters

Requirements

• 1–3 years of experience in securities and corporate law

• Fluent in both Mandarin and English (written and spoken)

• Admission to the New York State Bar (required)

• Authorization to work in the U.S.

• Experience handling:

  • Registered securities offerings

  • PIPE transactions

  • ’33 Act and ’34 Act filings

  • M&A transactions

  • General corporate compliance

• Strong attention to detail, communication, and interpersonal skills

• Ability to manage client relationships proactively and professionally

Education

• Juris Doctor (JD) from an accredited law school

Certifications

• Admission to the New York State Bar (required)
