Job Overview

A law firm seeks an Associate with 3 to 4 years of securities and capital markets experience to join its Corporate Practice Group in Miami, FL. This role involves working with public companies on disclosure obligations, corporate governance, and SEC reporting.

Duties

• Prepare and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Represent issuers and underwriters in equity and debt offerings.
• Counsel public companies on stock exchange compliance and related securities law matters.
• Advise boards of directors and management teams on governance and disclosure issues.
• Prepare registration statements and SEC comment letter responses.
• Support public company transactions, including mergers and acquisitions.

Requirements

• 3 to 4 years of securities and capital markets experience.
• Strong drafting, analytical, and communication skills.
• Ability to manage multiple transactions in a fast-paced environment.

Education

• Juris Doctor degree from an ABA-accredited law school.

Certifications

• Bar admission or eligibility to obtain admission promptly in the jurisdiction of resident office location.

Skills

• Experience with capital markets transactions and general corporate matters is a plus.
