Job Overview
A law firm seeks a Corporate Capital Markets Associate with 3 to 4 years of experience in securities and capital markets to join its Corporate Practice Group in Fort Lauderdale, FL.

Duties

• Prepare and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
• Represent issuers and underwriters in equity and debt offerings, including public and private securities offerings.
• Counsel public companies on disclosure obligations, corporate governance, SEC reporting, and stock exchange compliance.
• Advise boards of directors and management teams on governance and disclosure issues.
• Prepare registration statements and SEC comment letter responses.
• Support public company transactions, including mergers and acquisitions, tender offers, and strategic investments.

Requirements

• 3 to 4 years of securities and capital markets experience.
• Strong drafting, analytical, and communication skills.
• Ability to manage multiple transactions and compliance matters in a fast-paced environment.

Education

• Juris Doctor degree from an ABA-accredited law school.

Certifications

• Bar admission or eligibility to obtain admission promptly in the jurisdiction of the resident office location.

Skills

• Experience with capital markets transactions, joint ventures, private equity investments, and general corporate matters is a plus.
