A reputable law firm based in Covington, KY, is actively seeking a Transactional Associate with mid-level experience to support its growing legal operations. The ideal candidate will provide comprehensive legal support across transactional, corporate, and real estate matters. This role involves contract negotiation, due diligence, regulatory analysis, and client advisory, requiring a well-rounded professional capable of handling complex legal projects independently. Duties:

• Draft, negotiate, and revise a broad range of contracts, agreements, and transactional documents

• Prepare and review motions and settlement agreements

• Provide legal guidance on general corporate matters, including governance, compliance, and business structuring

• Conduct due diligence and manage legal aspects of real estate transactions, including closings

• Identify legal risks and propose mitigation strategies

• Interpret and apply legal regulations to ensure client compliance

• Research legal developments and analyze their potential impact on client matters

• Advise on compliance and fiduciary responsibilities across various sectors

• Coordinate with senior attorneys to resolve issues on active legal matters

• Perform additional legal tasks as directed

Requirements:

• 3-7 years of post-JD legal experience within transactional, corporate, or real estate practices

• Prior experience drafting complex agreements and legal memoranda

• Proven ability to communicate complex legal topics effectively

• Strong organizational skills and attention to detail

• Ability to handle multiple assignments under minimal supervision

• Effective interpersonal and relationship-building abilities

Education:

• Juris Doctor (JD) from an accredited U.S. law school

Certifications:

• Admission to the Bar and in good standing in at least one U.S. jurisdiction (Kentucky or Ohio preferred)
