A law firm seeks an associate attorney to join its corporate practice in Scottsdale, AZ. This role is ideal for an attorney with a keen interest in corporations, securities law, mergers and acquisitions, and venture-backed technology companies. The successful candidate will have the opportunity to enhance their corporate skills while collaborating with experienced partners and clients.

Duties

• Assist with complex institutional investments, including negotiation of private equity and venture capital agreements.
• Participate in sell-side and buy-side middle market M&A transactions.
• Represent venture-backed technology companies in entity formation and strategic partnerships.
• Draft and negotiate complex commercial contracts and organizational documents.
• Conduct due diligence investigations of companies.
• Ensure compliance with federal and state securities laws.

Requirements

• Proficiency in drafting and negotiating corporate transaction documents.
• Knowledge of corporate and business entity laws.
• Excellent written and oral communication skills.
• Ability to manage multiple tasks efficiently and effectively.
• Strong organizational and analytical skills.
• Self-motivated with a strong work ethic.
• Ability to work independently and collaboratively.

Education

• Must be admitted to practice in Arizona or eligible for admission on motion.
• Minimum of 3 years' experience in corporate law preferred.
• Excellent academic record.

• Active bar license in good standing.
