The ideal candidate will have significant experience in venture capital financings, M&A transactions, and corporate governance matters.

Duties

• Support venture capital financings and M&A transactions.
• Advise clients on corporate governance matters.
• Negotiate and manage preferred stock, bridge, and SAFE financings.
• Conduct due diligence on transactions.
• Supervise junior lawyers and staff.

Requirements

• 5-8 years of experience in emerging growth and venture capital.
• Experience in an AmLaw 100 law firm preferred.
• Familiarity with NVCA, seriesseed.com, and Y Combinator forms.

Education

• Juris Doctor (JD) degree.

Certifications

• Admitted to practice in the jurisdiction of application.
