Job Title: Public Finance Associate Attorney

Job Overview:
A well-established law firm based in Newport Beach, CA, is seeking a mid-level associate with a background in public or corporate finance. The role centers on supporting municipal clients and financial institutions in complex financing transactions. The selected candidate will contribute to structuring and documenting bond issuances and other public funding mechanisms. This in-office opportunity provides the chance to work closely with public entities and underwriters on a broad range of legal matters related to municipal finance.

Duties:

• Assist in structuring, negotiating, and closing public finance transactions

• Draft legal opinions, disclosure documents, and transactional instruments

• Advise local governments, school districts, and special districts on financing strategies

• Represent national and regional financial institutions in underwriting municipal securities

• Conduct legal research related to public finance regulations and securities law

• Participate in client meetings, municipal hearings, and closings

• Collaborate with senior attorneys on multi-faceted legal matters involving tax-exempt financing

Requirements:

• 2 to 4 years of experience in public finance, corporate finance, or general transactional law

• Previous tenure at a large law firm (50+ attorneys) preferred

• Familiarity with municipal law, bond issuance procedures, or securities compliance

• Must hold an active membership in the California State Bar

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• California Bar admission in good standing (mandatory)

Skills:

• Strong drafting and analytical capabilities

• High attention to detail in managing complex documents and regulatory filings

• Ability to work collaboratively in a team-based legal environment

• Comfortable managing deadlines and handling multiple transactions concurrently

• Excellent communication and interpersonal abilities when engaging with public agency clients and financial institutions
