Job Overview

A law firm seeks a corporate associate with at least 5 years of public company and capital market experience for its Palo Alto, CA office. The ideal candidate will have extensive experience in public company reporting compliance, governance, and day-to-day issues, including SEC compliance, disclosure matters, and Nasdaq/NYSE compliance. Experience with technology and/or life sciences companies is a plus.

Duties

• Manage public company reporting compliance and governance.
• Address day-to-day issues for public companies, including SEC compliance and disclosure matters.
• Ensure compliance with Nasdaq/NYSE regulations.
• Represent issuers or investment banks in capital markets transactions.
• Handle IPOs, equity/debt offerings, PIPEs, and at-the-market offerings.

Requirements

• Minimum of 5 years of experience in public company and capital markets.
• Experience with SEC compliance and governance.
• Familiarity with Nasdaq/NYSE compliance.
• Experience in capital markets transactions.
• Experience with technology and/or life sciences companies preferred.

Education

• Juris Doctor (JD) degree required.

Certifications

• Active bar membership in good standing.
