Job Overview: A prestigious law firm is seeking a Corporate Associate Attorney with a strong background in mergers and acquisitions (M&A) and private equity transactions. This role requires a highly skilled professional with 3-7 years of experience handling complex corporate matters. The successful candidate will join a dynamic and collaborative team, contributing to high-profile transactions and providing strategic counsel to clients in various industries. While the Miami office is preferred, this opportunity offers flexibility with potential locations in Jacksonville, FL, Atlanta, Austin, Chicago, Dallas, Houston, New York, or Washington, DC.

Duties:

• Advise clients on a wide range of M&A and private equity transactions, including structuring, negotiating, and drafting deal documents.
• Provide legal counsel on complex corporate matters, ensuring compliance with relevant laws and regulations.
• Collaborate with internal teams and clients to deliver innovative solutions for sophisticated corporate transactions.
• Conduct in-depth legal research and analysis, offering clear and actionable insights to clients.
• Assist in managing client relationships, offering proactive and strategic guidance to help achieve business objectives.
• Draft, review, and negotiate corporate documents, including mergers and acquisition agreements, private equity financing, and related documents.
• Support business development efforts by contributing to proposals and client presentations.

Requirements:

• 3-7 years of experience in corporate law, specifically in mergers and acquisitions and private equity.
• Strong proficiency in structuring, negotiating, and drafting complex transactions and agreements.
• Experience with high-profile corporate clients and transactions, ideally with an Am Law 100 firm.
• Excellent writing and analytical skills, with a strong attention to detail.
• Ability to manage multiple priorities in a fast-paced environment and work collaboratively in a team setting.

Education:

• Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

• FL Bar admission or eligibility to obtain admission promptly.

Skills:

• Outstanding legal research, writing, and analytical capabilities.
• Expertise in corporate transactions, M&A, and private equity.
• Strong communication skills, both written and verbal, with the ability to engage with clients and colleagues effectively.
