Job Overview:
A top-tier law firm is seeking a Junior Transactions Associate to join its Business Law – Transactions Practice Group in Jacksonville, Florida. This role primarily focuses on mergers and acquisitions (M&A), with additional responsibilities related to financing, securities, corporate governance, and general commercial transactions. The ideal candidate will work closely with partners, senior attorneys, and clients in a fast-paced, collaborative environment, and will have opportunities to grow into a long-term corporate practice with direct client engagement.

Duties:
Work on mergers and acquisitions, financings, and other business transactions
Draft and review transactional documents, including purchase agreements, governance documents, and financing contracts
Collaborate directly with partners and clients throughout all stages of deals
Conduct due diligence and prepare related memoranda and closing documentation
Advise clients on corporate governance and regulatory compliance matters
Contribute to a high-performing team in a dynamic, client-focused setting
Requirements:
1–3 years of experience in M&A, securities, or general corporate transactions
Experience working with corporate governance and commercial transaction matters
Strong interpersonal skills and the ability to work collaboratively in a team-based environment
Excellent drafting, negotiation, and analytical skills
Commitment to professional development and client service excellence
Education:
Juris Doctor (J.D.) from an ABA-accredited law school
Outstanding academic credentials required
Certifications:
Active membership in good standing with at least one U.S. state bar
Admission to the Florida Bar (or eligibility to obtain it promptly) is required
Skills:
Proficient in drafting and negotiating legal documents
Strong written and verbal communication abilities
Detail-oriented with excellent organizational and time management skills
Ability to handle multiple matters efficiently and accurately
