Corporate and Business Associate Attorney

A law firm seeks an experienced Corporate and Business Associate Attorney to join its dynamic team in Potomac, MD. The ideal candidate will have at least 3 years of experience in business and corporate law and a passion for tackling a wide range of corporate matters. This role requires expertise in business transactions, employment law, dispute resolution, and shareholder agreements. Duties

• Advise clients on corporate governance, business transactions, and operational matters.
• Draft, review, and negotiate contracts including shareholder and operating agreements, executive compensation, and non-compete clauses.
• Provide legal counsel on various business disputes and employment law matters.
• Support clients with business formation, mergers, acquisitions, and compliance issues.
• Assist with dispute resolution, including mediation and arbitration.
• Collaborate with senior attorneys and other team members to manage client relationships and deliver high-quality legal services.
• Conduct legal research and provide strategic advice based on evolving business laws and regulations.

Requirements

• At least 3 years of experience in corporate and business law.
• Experience with business transactions, corporate governance, and dispute resolution.
• Excellent legal writing, analytical, and research skills.
• Ability to handle complex business issues independently and collaboratively.
• Strong client communication and interpersonal skills.
• High attention to detail and ability to manage multiple tasks.
• Ability to apply sound judgment in business legal matters.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Admission to the Maryland State Bar is required.
• Admission to the District of Columbia and Virginia Bars is preferred.
