Duties

• Represent healthcare practices and private equity firms in business transactions.
• Conduct legal research on healthcare laws and regulations.
• Advise clients on regulatory compliance, including HIPAA and corporate structuring.
• Draft and negotiate various agreements and ancillary documents.
• Conduct due diligence and prepare contract review charts.
• Coordinate with clients and opposing counsels.
• Lead transaction closings.
• Draft company governance documents.
• Provide general corporate consultations.

Requirements

• JD, LLM, or foreign equivalent degree.
• 2 years of experience in private equity transactions, venture capital transactions, and mergers and acquisitions in healthcare.
• Experience advising clients in healthcare, pharmaceutical, medical device, and health insurance industries.
• Experience in cross-border transactions and representing public companies in complex transactions.
• Admitted to practice law in Florida.

Education

• JD, LLM, or foreign equivalent degree.

Certifications

• Admitted to practice law in Florida.

Skills

• Strong legal research and drafting skills.
• Ability to advise on regulatory compliance and corporate structuring.
• Proficient in conducting due diligence and coordinating transactions.
