Job Overview

A prestigious law firm is seeking an associate attorney to join its Emerging Companies & Venture Capital (ECVC) practice in San Francisco. This position offers the opportunity to work closely with innovative startups, growth-stage companies, and the investors who support them. The ideal candidate will have 3–5 years of experience handling venture financings, corporate governance, and general counsel services across all stages of a company’s lifecycle, from formation through exit.

Duties

• Advise early- to late-stage technology and life sciences companies on:

  • Entity formation

  • Capital raising, including SAFEs and preferred stock financings

  • Mergers, acquisitions, and exit strategies

  • Ongoing corporate governance and compliance

• Represent institutional and venture capital investors in emerging company investments

• Draft, negotiate, and close equity financing deals

• Serve as outside general counsel to high-growth startups

• Collaborate with CEOs, founders, boards, and executive teams

• Manage transactions and lead negotiations from term sheet to closing

• Engage across sectors including AI, biotech, fintech, digital health, defense tech, and more

Requirements

• 3–5 years of experience in ECVC or general corporate transactional practice

• Prior experience managing or leading venture financings and corporate governance work

• Demonstrated interest in working with startups and emerging growth companies

• Comfortable working in fast-paced, high-growth industry environments

• Ability to take ownership of client relationships and complex deal work

Education

• Juris Doctor (J.D.) from an ABA-accredited law school

• Strong academic credentials required

Certifications

• Active member in good standing with the California State Bar, or eligible for admission

Skills

• Strong transactional drafting, negotiation, and project management skills

• Ability to effectively communicate with both legal and non-legal professionals

• Deep understanding of venture capital market terms and corporate structures

• Familiarity with the startup ecosystem and investment lifecycle

• Ability to manage multiple clients and matters simultaneously with minimal supervision
