Duties

• Engage in mid-market M&A and venture capital transactions.
• Draft stock and asset purchase agreements.
• Interact directly with clients and handle routine matters independently.
• Manage major acquisitions and divestitures for middle-market companies.

Requirements

• 4 to 6 years of corporate and transactional experience.
• Licensed to practice in specified jurisdictions.
• Working knowledge of corporate and partnership taxation concepts.

Education

• Juris Doctorate (JD) required.

Certifications

• Licensed to practice law in Florida, Georgia, North Carolina, South Carolina, the District of Columbia, Delaware, Pennsylvania, New Jersey, New York, or Massachusetts.

Skills

• Strong writing skills and academic record.
• Familiarity with NVCA documents.
• Ability to handle major acquisitions and divestitures.
• Large law firm experience preferred.
