The candidate will be representing nonprofit and tax-exempt organizations from formation through dissolution, including applications for IRS Determination Letters (Forms 1023 and 1024), federal and state compliance, public charity vs. private foundation status, excess benefit transactions, defense of IRS audits of Forms 990/990-PF (and preparation of same), board governance, conflicts of interest, endowment funds/UPMIFA, donor advised funds, unrelated business income, fundraising, lobbying, political activities, and tax-exempt/nonprofit issues affecting a variety of transactions, including affiliations, financings, reorganizations, and multi-organizational structuring and restructurings. NJ and/or NY bar admission required. Should have 4-6 years of experience in tax-exempt work.
