Job Overview:
A distinguished law firm based in New York City is actively seeking an experienced Corporate Partner with a strong focus on mergers and acquisitions, private equity transactions, and general corporate advisory. This role is suited for a senior legal professional with a portable book of business, aiming to join a dynamic team advising a diverse range of clients, including investment funds, founders, and private companies.

Duties:

• Lead representation of buyers and sellers in M&A deals spanning various industries, particularly in lower middle-market and private equity-backed sectors

• Advise private equity funds, independent sponsors, and emerging managers on acquisitions, fund structuring, and capital raises

• Draft and negotiate complex transactional documents, including asset and stock purchase agreements, operating and shareholder agreements, and fund documentation

• Provide strategic guidance on entity formation, governance structures, compliance obligations, and commercial contracting

• Engage directly with clients such as company founders, family offices, and executive teams to deliver tailored legal solutions

• Maintain responsibility for managing multiple transactions simultaneously in a fast-paced, collaborative legal environment

Requirements:

• Minimum of 7 years of experience practicing in M&A and general corporate law

• Active membership in the New York Bar; admission in New Jersey is advantageous

• Demonstrated experience advising on private equity transactions; fund formation or structured finance knowledge is a plus

• Proven ability to develop and manage client relationships, including a portable book of business (minimum $500,000)

• Excellent drafting, analytical, and communication abilities

Education:

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

• Admission to the New York State Bar (required)

• Admission to the New Jersey Bar (preferred)
