Job Overview:
A top-tier law firm is seeking a mid-level Associate Attorney with 4–6 years of experience in private equity transactions to join its Boston office. This role offers the opportunity to work closely with private equity sponsors and strategic investors on a range of acquisitions, dispositions, financings, and fund structuring. The ideal candidate will have strong transactional skills, a deep understanding of corporate and securities law, and the ability to lead parts of complex transactions independently.

Duties:
Draft, review, and negotiate key transactional documents including purchase agreements, shareholder agreements, and financing documents
Conduct legal due diligence for investment transactions
Advise clients on compliance with corporate governance and securities regulations
Assist in structuring and formation of private equity funds
Provide strategic legal counsel on transactional matters
Lead various phases of private equity deals and manage transaction timelines
Supervise and mentor junior attorneys and support staff
Collaborate with attorneys across practice groups to execute complex transactions
Stay current with legal developments and best practices in private equity law
Requirements:
4–6 years of legal experience representing private equity sponsors and strategic investors in M&A, fund formation, and/or financing transactions
Prior experience at a large law firm strongly preferred
Proven ability to manage multiple workstreams in a deadline-driven environment
Demonstrated leadership in handling major elements of transactions
Education:
Juris Doctor (J.D.) from an accredited law school
Certifications:
Active and good standing admission to the Massachusetts Bar (required)
Skills:
Strong knowledge of corporate law and securities regulations
Exceptional drafting and negotiation skills
High-level analytical and problem-solving abilities
Excellent organizational and time management capabilities
Strong interpersonal skills and team collaboration mindset
Ability to train and mentor junior legal professionals
