Job Overview

A law firm seeks a mid-level corporate attorney with a strong background in corporate and emerging companies' work to join their growing transactional practice in Potomac, MD. The ideal candidate will have experience in complex transactional matters, including mergers and acquisitions, private equity, venture capital, and finance, and will advise startup and emerging growth clients throughout their lifecycle.

Duties

• Provide guidance on legal and regulatory issues related to corporate and transactional matters.
• Draft and negotiate transaction documents and manage related due diligence.
• Manage transaction closings and coordinate with clients, investors, and opposing counsel.
• Assist in structuring transactions and developing deal strategy.

Requirements

• 3+ years of experience representing clients in business transactions, particularly in M&A, private equity, venture capital, and finance.
• Maryland Bar admission (or willingness to obtain); DC and VA admission are a plus.
• Strong drafting and negotiation skills.
• Entrepreneurial mindset and enthusiasm for transactional work.

Education

• J.D. from an accredited law school.
