Duties:

• Provide legal guidance on corporate governance, mergers, acquisitions, joint ventures, and general business transactions.
• Review, draft, and negotiate complex agreements, including shareholder agreements, asset purchase agreements, and corporate bylaws.
• Advise clients on corporate structure, compliance issues, and regulatory requirements.
• Conduct legal research and analysis to support business decisions.
• Represent clients in meetings, hearings, and other corporate-related legal matters.
• Manage and mentor junior attorneys and support staff on corporate matters.
• Collaborate with other practice areas to support business objectives and strategies.

Requirements:

• Minimum of 5 years of corporate law experience.
• In-depth knowledge of corporate law principles, including mergers and acquisitions, securities regulation, and business governance.
• Demonstrated ability to handle complex transactions and negotiate high-stakes agreements.
• Strong analytical, communication, and drafting skills.
• Proven ability to work effectively both independently and within a team.
• Exceptional attention to detail and ability to meet deadlines in a fast-paced environment.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Admission to the Bar in North Carolina (or eligible for admission).
