A law firm is seeking a seasoned corporate partner–level attorney with a minimum of eight years of relevant practice to join its Winston-Salem, NC office. This role calls for an experienced lawyer to lead sophisticated transactional matters, mentor junior team members, and help shape the strategic growth of the firm’s corporate practice.
Job Overview
As a senior member of the corporate group, the attorney will steer large-scale mergers and acquisitions, equity financings, and strategic counseling for business clients.
The position requires both practicing at an elevated level and collaborating cross-functionally to enhance the firm’s market presence.
The ideal candidate will exhibit strong leadership, business development acumen, and a client-focused mindset.
Key Responsibilities
Directly oversee and execute complex corporate transactions, including:
Negotiating and drafting definitive agreements for mergers, acquisitions, divestitures, and joint ventures.
Structuring equity and debt financing arrangements, working with lenders and investor groups.
Advising boards of directors and executive management on corporate governance, compliance, and fiduciary duties.
Cultivate and expand client relationships by:
Identifying new business opportunities and assisting with proposals, pitches, and presentations.
Leading client calls and in-person meetings to understand strategic goals and tailor legal solutions.
Guide and mentor associates and senior associates through:
Reviewing and providing feedback on transactional documents, due diligence checklists, and closing binders.
Offering on-the-job training regarding negotiation tactics, deal structuring, and risk assessment.
Collaborate with other practice areas (tax, real estate, employment) to deliver integrated legal advice.
Oversee deal budgets and timelines, ensuring efficient resource allocation and adherence to internal guidelines.
Stay abreast of changes in corporate law, securities regulations, and industry trends; share insights through internal memoranda and client alerts.
Experience & Qualifications
A minimum of eight years of corporate law experience, preferably gained at a reputable law firm or corporate legal department.
Demonstrated track record handling high-value mergers and acquisitions, private equity transactions, or capital markets matters.
Proven ability to generate and nurture client relationships in a business development capacity.
Admission to the North Carolina Bar (or eligibility to transfer under NC reciprocity rules).
History of supervising and coaching associates on transactional work product.
Experience working with publicly traded entities and familiarity with SEC reporting obligations is advantageous.
Education
Juris Doctor (J.D.) from an accredited law school.
Bachelor’s degree in a related field (e.g., Business, Finance, Economics), demonstrating strong analytical and communication skills.
Certifications & Licenses
Active license to practice in North Carolina.
Any additional bar admissions (e.g., federal courts) are considered a plus.
Completion of continuing legal education programs focused on corporate transactions and securities regulation.
