Duties

• Lead the execution of capital market transactions including IPOs, bond offerings, and private placements.
• Advise clients on securities transactions, regulatory compliance, and corporate governance issues.
• Draft and negotiate complex legal documents such as underwriting agreements, purchase agreements, and registration statements.
• Coordinate with multiple stakeholders including clients, investment bankers, and regulatory bodies.
• Mentor and supervise junior associates and support staff.
• Contribute to the firm's thought leadership through publications and speaking engagements.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in good standing with a U.S. State Bar.
• Minimum of 5 years of relevant experience in capital markets in a law firm setting.
• Strong expertise in securities law and experience with SEC filings and compliance.
• Exceptional analytical, negotiation, and communication skills.
• Proven ability to manage multiple projects in a fast-paced environment.
• Detail-oriented with a proactive approach to problem-solving.

Education
