A law firm is seeking a highly motivated Corporate Attorney to join its growing Business and Corporate practice. This role provides a platform for a seasoned attorney with entrepreneurial spirit and experience in business formation, corporate governance, mergers & acquisitions, securities, corporate finance, and contracts. This opportunity is ideal for a lateral hire looking to grow their practice and contribute to a dynamic team.

Location:

• Philadelphia, PA

Duties:

• Manage and advise clients on business formation and succession planning

• Provide counsel on corporate governance matters

• Lead and support mergers & acquisitions transactions

• Advise on securities and corporate finance issues

• Draft, review, and negotiate corporate agreements and contracts

• Develop and maintain client relationships

• Actively contribute to the growth and expansion of the corporate practice

• Potential to build a personal book of business

Requirements:

• Strong desire to grow and develop the corporate practice

• Experience in business formation, corporate governance, M&A, securities, and corporate finance

• Previous experience managing corporate legal matters

• Barred in Pennsylvania and/or New Jersey preferred

• A book of business is preferred but not required

• Ability to work independently and as part of a team

Education:

• Juris Doctor (J.D.) from an ABA-accredited law school

Certifications:

• Admission to the Bar in Pennsylvania and/or New Jersey preferred

• LLM in Taxation is a plus

Skills:

• Strong legal research and writing skills

• Ability to advise on complex corporate transactions

• Excellent communication and interpersonal skills

• Entrepreneurial mindset with a focus on business development

• Strong negotiation and drafting abilities
