Job Overview:

A law firm is seeking a lateral Corporate Attorney at the Shareholder/Partner level to expand its Business and Corporate practice. The ideal candidate will have a strong background in business formation, corporate governance, mergers and acquisitions, securities, corporate finance, and contracts. This role is perfect for an ambitious attorney with a drive to grow professionally and contribute to the firm's success.

Location:

• Conshohocken, PA

Duties:

• Lead business formation and succession planning initiatives

• Advise clients on corporate governance and compliance matters

• Manage mergers and acquisitions transactions from inception to closing

• Provide guidance on securities law issues and corporate finance strategies

• Draft and negotiate contracts and corporate agreements

• Build and maintain strong client relationships and support business development efforts

• Contribute to the strategic growth and expansion of the firm’s Corporate practice

Requirements:

• Extensive experience in corporate law, including business formation, mergers & acquisitions, corporate governance, securities, and corporate finance

• A book of business is preferred but not a requirement

• Barred in Pennsylvania and/or New Jersey (preferred)

• LLM in Taxation is a plus

• Proven ability to manage complex corporate transactions and deliver business solutions

• Strong client relationship management and business development skills

Education:

• Juris Doctor (J.D.) from an ABA-accredited law school

Certifications:

• Active Bar membership in Pennsylvania and/or New Jersey (preferred)

• LLM in Taxation (preferred but not required)

Skills:

• Expertise in business formation, mergers & acquisitions, corporate governance, and securities law

• Strong drafting, negotiation, and legal research skills

• Entrepreneurial mindset and ability to contribute to firm growth

• Excellent communication and client management abilities

• Ability to work independently and in a collaborative team environment
