Duties

• Work on sponsor-side private equity fund formation matters.
• Assist with structuring and negotiating fund agreements, including limited partnership agreements (LPAs), investment management agreements, and side letters.
• Collaborate with clients to provide legal counsel on fund formation, governance, and regulatory matters.
• Conduct legal research and analysis on fund-related issues and industry developments.
• Participate in drafting and reviewing fund documents and agreements.
• Manage client communications and ensure smooth project execution.

Requirements

• 4-7 years of experience in corporate law, with a focus on private equity fund formation or related areas.
• Strong experience working on sponsor-side private equity funds, including fund formation, governance, and regulatory matters.
• Proven ability to structure, negotiate, and draft complex legal documents related to private equity funds.
• Ability to interact directly with clients and manage relationships.
• Strong communication skills, both written and verbal.

Education

• J.D. (Juris Doctor) degree from an accredited law school

Certifications

• Active license to practice law in New York
