Job Overview

A law firm seeks a midlevel corporate associate with experience in emerging companies and venture capital for its Fort Lauderdale, FL office. The candidate will provide legal guidance on corporate and transactional matters, supporting clients from formation to exit.

Duties

• Advise emerging companies and venture capital investors on corporate and transactional matters.
• Draft and negotiate venture capital financing documents, including term sheets and convertible notes.
• Provide legal guidance on corporate governance, including board and shareholder issues.
• Support clients in mergers and acquisitions, joint ventures, and strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to early-stage and late-stage private companies.
• Manage internal and external client and counsel relationships.

Requirements

• 3 to 5 years of relevant experience.
• Strong academic background with excellent research and writing skills.
• Must reside in the Fort Lauderdale area at or prior to the time of hire.
• Expected to work in the office at least three business days per week.

Education

• JD from an ABA Accredited Law School.

Certifications

• Must be licensed or ready to become licensed to practice law in Florida.

Skills

• Relevant transferable skills in corporate law and venture capital.
