Job Overview

A law firm seeks a midlevel corporate associate with experience in emerging companies and venture capital for its Miami office. The candidate will provide legal guidance on corporate and transactional matters, from formation to exit, and support clients in strategic transactions.

Duties

• Advise emerging companies and venture capital investors on corporate matters.
• Draft and negotiate venture capital financing documents.
• Provide guidance on corporate governance, including board and shareholder issues.
• Support mergers, acquisitions, joint ventures, and strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to private companies.
• Manage client and counsel relationships.

Requirements

• 3 to 5 years of relevant experience.
• Must reside in the Miami area at or prior to hire.
• Work in the office at least three business days per week.

Education

• JD from an ABA Accredited Law School.

Certifications

• Licensed or eligible to become licensed to practice law in Florida.

Skills

• Strong academic background.
• Excellent research and writing skills.
• Relevant transferable skills.
