A highly regarded law firm in San Diego is seeking a Mid-Level to Senior Corporate Associate to join its Public Companies practice. This position is ideal for attorneys with over four years of experience advising public and pre-IPO companies on securities law compliance, capital markets transactions, and corporate governance. The role involves significant client interaction, complex regulatory work, and opportunities to lead matters across a range of public company legal needs. Advise public and pre-IPO companies on compliance with the Securities Exchange Act of 1934 (’34 Act)
Prepare and review SEC filings including Forms 10-K, 10-Q, 8-K, and proxy statements
Counsel clients on stock exchange regulations and corporate governance matters
Manage and support initial public offerings (IPOs) and other capital markets transactions for both issuers and underwriters
Serve as second chair or lead counsel on equity and debt offerings
Maintain and manage day-to-day client relationships with public and emerging companies
Provide strategic advice regarding disclosure obligations and investor communications
Support transactions involving startups and venture-backed companies, including seed and venture financings, and M&A where applicable
Minimum of 4 years of experience in public company advisory and capital markets work
Demonstrated experience managing SEC periodic reporting and disclosure requirements
Experience reviewing and managing 10-Ks, 10-Qs, and proxy statements
Ability to support or lead public offerings and advise on securities compliance
Familiarity with startup company lifecycles, venture capital transactions, and mergers & acquisitions is a plus
Strong client service focus and ability to manage multiple matters efficiently
Preference for candidates admitted to the California Bar or eligible for immediate admission
Juris Doctor (JD) from an accredited U.S. law school
Active bar membership in at least one U.S. jurisdiction
California Bar admission preferred
Deep understanding of securities law, public company reporting, and capital markets
Excellent written and verbal communication skills
Ability to draft, review, and negotiate complex legal documents
