A law firm seeks a highly qualified Associate to join its Tax Department in the Executive Compensation and Employee Benefits Practice Group located in Washington, D.C. Candidates should have 3-5 years of experience in executive compensation and employee benefits matters.

Duties

• Conduct due diligence in mergers and acquisitions.
• Draft, negotiate, and counsel on executive compensation arrangements.
• Research and counsel on compliance with relevant laws.
• Support transaction-related work, primarily for middle market M&A deals.

Requirements

• 3-5 years of experience in executive compensation and employee benefits.
• Experience with corporate transactions and private equity sponsors.

Education

• Juris Doctor (JD) degree required.

Certifications

• Bar admission in the relevant jurisdiction.

Skills

• Strong research and analytical skills.
• Excellent drafting and negotiation abilities.
• Proficiency in compliance with the Internal Revenue Code, ERISA, and securities laws.
