Job Overview:
A prominent law firm based in New York City, NY, is seeking a skilled Finance Associate Attorney with 3-7 years of post-JD experience to support its fast-paced finance practice. This opportunity involves working with a broad range of sophisticated clients on intricate financing matters, including various forms of structured debt, leveraged acquisitions, and distressed asset transactions. The role is suited for a proactive attorney who thrives in a team-oriented setting and enjoys complex deal structuring across multiple sectors of the finance industry.

Duties:

• Advise on and draft documentation for a wide variety of financing arrangements, including:

  • Leveraged finance deals

  • Acquisition finance structures

  • Asset-based lending (ABL)

  • Unitranche and hybrid structures

  • First lien/second lien facilities

  • Mezzanine and subordinated debt arrangements

• Provide counsel in connection with distressed debt, workouts, and restructuring-related matters

• Represent a range of stakeholders, such as:

  • Investment and commercial banks

  • Direct and non-bank lenders

  • Private credit and debt funds, BDCs, and hedge funds

  • Corporates and sponsor-backed borrowers

• Oversee deal execution from term sheet negotiation through closing

• Coordinate with internal and external parties to ensure regulatory and compliance alignment

• Manage client relationships and maintain high service levels across transactions

Requirements:

• 3-7 years of substantive experience in debt financing transactions

• Demonstrated proficiency in the negotiation and execution of complex financing deals

• Experience advising both lenders and borrowers is strongly preferred

• Familiarity with sponsor-backed deal structures and institutional lending markets

Education:

• Juris Doctor (JD) from an accredited U.S. law school

Certifications:

• Admitted to the New York State Bar or eligible for immediate admission

Skills:

• Excellent drafting and negotiation abilities

• Ability to manage multiple transactions simultaneously with high attention to detail

• Strong interpersonal skills and commercial acumen

• Proven ability to work independently while collaborating with cross-functional teams

• Comfortable interfacing with clients directly and providing strategic guidance
