Job Description
A small boutique law firm with a focus on personalized client service seeks a Senior Business (or Real Estate) Paralegal to support attorneys in business law matters, including corporate governance, contract drafting, entity formation, and compliance. The firm is committed to a collaborative, supportive work environment and offers a hybrid work schedule in Vacaville, CA.
Position Overview
The Senior Business Paralegal will play a pivotal role in managing complex legal tasks, working independently in a fast-paced setting, and collaborating with attorneys to deliver high-quality client outcomes.
Key Responsibilities
Draft, review, and revise business contracts, such as service agreements, leases, NDAs, and vendor contracts.
Prepare and file formation documents for corporations, LLCs, and other entities.
Maintain corporate records, minute books, and prepare board resolutions or consents.
Conduct legal research and summarize findings on business compliance, regulatory issues, and transactional matters.
Assist with due diligence for mergers, acquisitions, and other transactions.
Monitor and ensure compliance with corporate filing deadlines (e.g., annual reports).
Communicate with clients, opposing counsel, and regulatory agencies.
Support attorneys in drafting memoranda, correspondence, and reports.
May mentor or train junior paralegals or legal assistants.
Qualifications
5–7 years of paralegal experience in a law firm or corporate legal department, with a focus on business law.
Bachelor’s degree or equivalent required; paralegal certificate from an ABA-approved program preferred.
Deep knowledge of business and corporate law processes and terminology.
Strong drafting, organizational, and multitasking skills, with the ability to work independently under tight deadlines.
Proficient in Microsoft Office and legal software (e.g., CLIO, NetDocuments).
Ability to maintain confidentiality and handle sensitive information with discretion.
