Duties

• Advise on debt issuances for issuers and underwriters in public and private markets.
• Guide private equity and real estate investment funds on fund finance facilities.
• Support sponsors and corporate borrowers on cash flow and asset-based financings.
• Structure and document private credit transactions for alternative capital sources.
• Advise on debt at various capital structure levels, including senior loans and mezzanine debt.
• Address liability management and other topical issues in debt finance transactions.

Requirements

• JD degree from an ABA-approved law school or foreign equivalent.
• Licensed to practice law in New York and with the Solicitors Regulation Authority of England and Wales.
• 7 years of experience advising on cross-border debt financing.
• Experience drafting LMA and LSTA based credit documents.
• Experience with multilateral development banks in debt finance transactions.
• Representation of sponsors, borrowers, and lenders in various debt financings.
• Experience with fund finance transactions for private equity and credit funds.
• Advising on domestic and cross-border debt securities offerings.

Education

• JD degree from an ABA-approved law school or foreign equivalent.

Certifications

• Licensed to practice law in New York.
• Member in good standing with the Solicitors Regulation Authority of England and Wales.
